William J. Gedwed
President and Chief Executive Officer

William J. Gedwed serves as President and Chief Executive Officer of HealthMarkets, Inc.

He has served as President and CEO of HealthMarkets since July 1, 2003, and served as Chairman of the Board from September 7, 2005 until April 5, 2006. He has served as a Director of the Company since June 2000 and is a member of the Executive and Nominating Committees of the Board of Directors.

Mr. Gedwed also currently serves as a Director and Chairman of the Board of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), The Chesapeake Life Insurance Company, Fidelity First Insurance Company and Fidelity Life Insurance Company (subsidiaries of the Company). He also serves as President and Chief Executive Officer of Fidelity Life Insurance Company.

He joined HealthMarkets in 1997 when the Company acquired NMC Holdings, Inc., parent company of National Motor Club of America, Inc. Mr. Gedwed left HealthMarkets in February 2001 to pursue other business interests while continuing to serve on the company's board of directors. He rejoined the Company in July 2003 as President and CEO.

Mr. Gedwed received his B.S. from the University of Houston and his M.B.A. from the University of Houston.

Mr. Gedwed is a board member of the KIPP TRUTH Academy, one of the Knowledge Is Power Program schools. He is also a member of the Corporate Chairman's Circle for The John F. Kennedy Center for the Performing Arts.

Michael A. Colliflower
Executive Vice President and General Counsel

Michael A. Colliflower was named as Executive Vice President and General Counsel effective August 30, 2006. He joined HealthMarkets in July 2005 as Senior Vice President and General Counsel - Insurance Operations. He currently serves as a Director and Executive Vice President and General Counsel of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas),and the Chesapeake Life Insurance Company. He also serves as a Director of Fidelity Life Insurance Company and Fidelity First Insurance Company. He served as the Company's Chief Compliance Officer from August 2005 to March 2007. Prior to joining the Company, Mr. Colliflower had served since October 2002 as Senior Vice President and Chief Insurance Counsel for the insurance subsidiaries of Universal American Financial Corp. From August 1996 until October 2002, Mr. Colliflower held various management positions at the Conseco Companies, including Senior Vice President - Legal and Chief Compliance Officer. Mr. Colliflower was Chairman of the Compliance Section of the American Council of Life Insurers in 1998-1999. Mr. Colliflower is a director of the Mississippi Life & Health Guaranty Association. Mr. Colliflower received his B.B.A., cum laude, from St. John Fisher College (Rochester, NY) and his J.D. from Wake Forest University.

Michael E. Boxer
Executive Vice President and Chief Financial Officer

Michael E. Boxer joined HealthMarkets as the Chief Financial Officer in September 2006. Mr. Boxer serves as a Director and Executive Vice President and Chief Financial Officer of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), The Chesapeake Life Insurance Company and Fidelity Life Insurance Company. Mr. Boxer also serves as a Director of Fidelity First Insurance Company. Prior to joining HealthMarkets, Mr. Boxer served as President of The Enterprise Group Ltd., a health care financial advisory firm. Mr. Boxer served as Executive Vice President and Chief Financial Officer of Mariner Health Care, Inc., a skilled nursing company, from 2003 until its sale in 2004. Prior to Mariner, Mr. Boxer was Senior Vice President and Chief Financial Officer at Watson Pharmaceuticals, Inc. Mr. Boxer earned his MBA from the University of Chicago and holds a B.S. in Business Administration from Colorado State University. Mr. Boxer serves on the Board of Directors of the Jack and Jill Late Stage Cancer Foundation. Mr. Boxer also serves as Chairman of the Audit Committee and on the Board of Directors of Skilled Healthcare Group, Inc.

David W. Fields
Executive Vice President and Chief Operating Officer

David W. Fields joined HealthMarkets as Executive Vice President and Chief Operating Officer in November 2007. He currently serves as a Director, President and Chief Executive Officer of the MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), The Chesapeake Life Insurance Company and Fidelity First Insurance Company.

Prior to joining HealthMarkets, Mr. Fields served as Chief Executive Officer of UniCare Life and Health Insurance Company (“UniCare”), a subsidiary of WellPoint Inc. Prior to joining UniCare, Mr. Fields was Vice President and General Manager of Blue Cross Blue Shield of Georgia, where he was responsible for the company’s individual, small group and senior markets. Prior to joining Blue Cross Blue Shield, Mr. Fields worked for more than a decade with a regional insurance company in a senior leadership position. Before that he worked as a certified public accountant with Coopers & Lybrand, focusing on hospital and insurance company audits. Mr. Fields has served on a number of boards, including the American Red Cross, The American Heart Association and The National Conference of Christians and Jews. He is a 1982 graduate of the University of Louisville with a Bachelor of Science in Commerce-Accounting.

Nancy G. Cocozza
Executive Vice President

Nancy G. Cocozza joined HealthMarkets as Executive Vice President in March 2007. Ms. Cocozza serves as Executive Vice President of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), and The Chesapeake Life Insurance Company. Prior to joining HealthMarkets, Ms. Cocozza served as Senior Vice President of Coventry Health Care where she led Government Programs from 2001 to Oct 2006. Ms. Cocozza also served in a variety of executive roles at Aetna, Inc and its predecessor U.S. HealthCare from 1984-2001. Ms Cocozza received a B.S. summa cum laude from Philadelphia University, and earned her CPA shortly thereafter, having started her career in public accounting with the firm of Ernst & Young.

Consuelo Palacios
Treasurer and Controller

Connie Palacios has served as Treasurer and Controller of the Company and its insurance subsidiaries since January 1997. Ms. Palacios joined the Company in 1993 as Assistant Controller, and she currently serves as a Director of Fidelity First Insurance Company. Prior to joining the Company, Ms. Palacios was an auditor with Coopers & Lybrand. Ms. Palacios received her B.B.A. from UT-Pan American University.

Derrick A. Duke
Senior Vice President and Chief Investment Officer

Derrick A. Duke joined HealthMarkets in May 2004 as Vice President and Chief Investment Officer. He currently serves as a Director and Vice President of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), The Chesapeake Life Insurance Company and Fidelity First Insurance Company. Prior to joining HealthMarkets, Mr. Duke served as Senior Vice President and Chief Investment Officer for a privately held insurance company for 15 years. Mr. Duke received his B.B.A. in Finance from Hardin Simmons University and an M.B.A. in Finance from The University of Texas at Arlington. In addition, Mr. Duke is a Chartered Financial Analyst and has served as an adjunct professor at Dallas Baptist University and a guest lecturer at The University of Texas at Arlington.

Katherine D. Phillips
Vice President, Chief Compliance Officer and Associate General Counsel

Katherine D. Phillips was named as Vice President, Chief Compliance Officer and Associate General Counsel on March 14, 2007. She joined HealthMarkets in July 2006 as Vice President and Deputy Compliance Officer – Corporate Legal. Ms. Phillips currently serves as Senior Vice President, Chief Compliance Officer and Associate General Counsel of The MEGA Life and Health Insurance Company, Mid-West National Life of Tennessee (based in Texas), and the Chesapeake Life Insurance Company. Prior to joining the Company, she provided market conduct and compliance audit and consulting services to regulators and insurers across the country as an independent consultant and as part of the Insurance Consulting practice at KPMG for more than a decade. She also served as the Commissioner of Insurance of the Commonwealth of Massachusetts, and as the Public Insurance Counsel of the State of Texas. In addition, Ms. Phillips worked for a number of years for the Texas Legislature on insurance and finance-related legislation. She holds both a Bachelor of Music Education degree and a Doctor of Jurisprudence degree from the University of Texas at Austin.

Asher M. Schoor
Senior Vice President

Asher M. Schoor has served as a Senior Vice President since May 2006. Mr. Schoor directs the strategic efforts and business development activities of the Company. Mr. Schoor serves as Executive Vice President of The MEGA Life and Health Insurance Company, Mid-West National Life Insurance Company of Tennessee (based in Texas), and The Chesapeake Life Insurance Company. Prior to joining HealthMarkets, Mr. Schoor was a consultant at McKinsey & Company, where he worked from 2001 until 2006. Mr. Schoor has also been involved in a number of entrepreneurial insurance ventures in the property and casualty industry. Mr. Schoor received a BS summa cum laude from Touro College . He received a JD from New York University Law School as a Robert McKay scholar and an MBA from NYU's Stern School of Business.
